The technical information, business information, specifications, data, drawings, materials, samples, specimens, and any other information (the “Information”) provided on this website include confidential information of 3DC Co., Ltd. (the “Company”). By accessing, obtaining, or using the Information, the user agrees to the following terms and conditions.
1. Purpose
The Information is provided solely for the purpose of evaluating graphene mesosponge products, conducting examinations, and considering potential transactions (the “Purpose”).
2. Definition of Confidential Information
“Confidential Information” means all technical information, business information, specifications, data, drawings, materials, samples, specimens, and any other information provided by the Company through this website, whether or not such information is marked as confidential.
3. Restriction on Use
The user shall use the Information only for the Purpose and shall not use the Information for any other purpose without the Company’s prior written consent.
4. Confidentiality
The user shall not disclose, leak, or provide the Information to any third party. However, if disclosure is required by applicable law, court order, or a request from a competent governmental authority, the user may disclose the Information only to the minimum extent necessary, provided that the user gives the Company prior notice, or prompt subsequent notice if prior notice is legally prohibited or impracticable. The user shall protect the Information with at least the same degree of care that it uses to protect its own confidential information.
5. Prohibition of Reproduction and Sharing
The user shall not reproduce, reprint, share, or modify the Information beyond the minimum extent necessary.
6. Prohibition of Analysis and Reverse Engineering
The user shall not analyze, examine, reverse engineer, or perform any similar act with respect to any samples, specimens, or Information provided by the Company, nor permit any third party to do so. However, within the scope of the Purpose, the user may conduct testing for product quality verification or suitability for intended use only with the Company’s prior written consent.
7. Intellectual Property Rights
All patent rights, know-how, and any other intellectual property rights relating to the Information shall remain vested in the Company. Nothing in this Agreement shall be construed as granting any transfer, license, or other right in or to such intellectual property rights.
8. Prohibition of Patent Applications and Similar Filings
The user shall not file any patent application or seek to obtain any other intellectual property right based on the Information if doing so could infringe the rights of the Company.
9. Disclaimer
The Information is provided on an “as is” basis, and the Company makes no representation or warranty, express or implied, as to its accuracy, completeness, or usefulness. The user shall use the Information at its own risk and responsibility.
10. Term
This Agreement shall remain in effect for one (1) year from the date on which the user gives consent. The confidentiality obligations set forth herein shall survive for five (5) years after termination of this Agreement. Upon termination of this Agreement, or at any time upon the Company’s request, the user shall promptly return or destroy the Information and all copies thereof and shall confirm such return or destruction to the Company in writing.
11. Damages
If the user breaches this Agreement, the user shall indemnify the Company for all losses and damages incurred by the Company as a result of such breach.
12. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Japan. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court.
13. Acceptance
This Agreement shall become effective when the user clicks the “Agree” button on this website. The Company may retain records relating to the user’s acceptance, including the date and time of acceptance, and such records shall constitute evidence of the formation of this Agreement.
